Acceptance of Terms

Indemnification
You agree to defend, indemnify, and hold harmless Media-AMJ LLC and its affiliates, officers, directors, employees, and service providers from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your violation of these Terms or applicable law, or from your content or use of the Websites.
Exclusive Florida Law
These Terms, including the Privacy Policy, and any and all disputes, controversies, claims, or causes of action of any kind or nature whatsoever (“Claims”) arising out of or related to the Websites, their content, or your use thereof (including any person or non-person acting on your behalf) shall be governed exclusively by and construed solely in accordance with the laws of the State of Florida, without giving effect to conflict-of-laws rules that would apply another jurisdiction’s law. All other states’ or other jurisdiction's laws are expressly excluded.
Exclusive Venue; Waiver of Federal Jurisdiction; Waiver of Class or Multi-Plaintiff Actions
You agree that any and all Claims shall be brought exclusively in the County Court in and for Hillsborough County, Florida, which shall have sole and exclusive jurisdiction and venue. You irrevocably consent to that court’s personal jurisdiction and waive any right to remove, transfer, or invoke federal jurisdiction (including diversity or federal question). You further agree not to bring, participate in, or join any class, collective, or multi-plaintiff proceeding against Media-AMJ LLC or its affiliates.
Mandatory Notice and Right to Cure (Condition Precedent)
Before initiating suit, you agree to notify us and permit us a good faith opportunity to fix the issue that gave rise to your Claim, so that we may cure it and prevent it from happening to you or others in the future. You must send a Potential Claim Notice by certified mail, return receipt requested, to Media-AMJ LLC, 320 W. Kennedy Blvd. Suite 220, Tampa FL 33606. The Potential Claim Notice must describe the facts of the alleged claim with enough reasonable detail to allow us to understand how your rights were violated or damaged and cure same. We have sixty (60) days from receipt to investigate and, at our discretion, cure or resolve the matter. If we resolve the matter to reasonably prevent the same issue from occurring to you again, it shall be deemed that no breach of duty has occurred and that you are not entitled to recover any damages for it. No Claim may be filed until that 60-day period expires; failure to comply is a complete bar to any Claim.
Contractual Statute of Limitations
TO THE EXTENT PERMITTED BY FLORIDA LAW, ANY AND ALL CLAIMS UNDER ANY THEORY (CONTRACT, TORT, EQUITY, STATUTE, OR OTHERWISE) MUST BE FILED WITHIN SIX (6) MONTHS FROM THE DATE THE CLAIM FIRST ACCRUES. If a Potential Claim Notice is timely sent under the Notice and Cure provision, the one-year period pauses only for the sixty (60) day cure period and then resumes immediately.
Release of Prior and Unknown Claims
TO THE EXTENT PERMITTED BY FLORIDA LAW, AND AS A CONDITION OF CONTINUED ACCESS, EACH TIME YOU ACCESS THE WEBSITES YOU RELEASE AND FOREVER DISCHARGE MEDIA-AMJ LLC FROM ANY AND ALL CLAIMS, KNOWN OR UNKNOWN, ARISING OUT OF OR RELATING TO ANY PRIOR ACCESS, VISIT, OR INTERACTION WITH THE WEBSITES OR THEIR CONTENT.
Limitations on Liability
YOU UNDERSTAND AND AGREE THAT, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE, OR OUR VENDORS OR SERVICE PROVIDERS (COLLECTIVELY, “WE” OR “US”), SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE WEBSITE.
IN NO EVENT SHALL THE AGGREGATE LIABILITY OF ANY OF US EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID OR PAYABLE TO RAPTIVE BY OR BECAUSE OF YOU FOR THE WEBSITE DURING THE SIX-MONTH PERIOD PRIOR TO THE ACT, OMISSION, OR OCCURRENCE GIVING RISE TO SUCH LIABILITY; OR (B) ONE HUNDRED U.S. DOLLARS ($100). THE LIMITATIONS OF THIS SUBSECTION SHALL APPLY TO ANY THEORY OF LIABILITY, WHETHER BASED ON WARRANTY, CONTRACT, STATUTE, TORT, OR OTHERWISE, AND WHETHER OR NOT THE PARTIES HAVE BEEN INFORMED OF THE POSSIBILITY OF ANY SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED ITS ESSENTIAL PURPOSE.
Exclusive Location of Access
All access to and use of the Websites (including any data collection, interaction, or transmission of any kind) is deemed, for all legal and jurisdictional purposes, to occur exclusively within the City of Tampa, Hillsborough County, Florida, regardless of the user’s physical location.
Waiver of Attorney’s Fees, Interest, and Costs
You agree not to seek or recover attorneys’ fees, costs, or interest from us. To the extent permitted by Florida law, you hereby waive any statutory right to recover attorney fees or costs.
Severability
If any provision of these Terms, including elements of the Privacy Policy, is found unenforceable, it shall be enforced to the maximum extent permissible to effect the parties’ intent, and the remainder shall remain in full force and effect.
Integration
These Terms and Conditions represent the full scope of the agreement by and between you (including your agents and representatives), and Media-AMJ LLC.
